Adyen Acquires Orb for $335 Million to Expand Billing and Payments Capabilities

Article content
Adyen has announced a definitive agreement to acquire enterprise billing platform Orb in a transaction valued at $335 million, marking a significant step in the company's strategy to expand beyond payments and deepen its role within the enterprise monetization stack.
Upon closing, Orb will operate as an indirect wholly owned subsidiary of Adyen under an incubator model designed to preserve product velocity and operational continuity. The transaction will be financed entirely through Adyen's available cash resources.
Founded in 2021 and headquartered in San Francisco, Orb has quickly established itself as a leading revenue and billing platform for AI-native and SaaS companies. Its customers include organizations such as Vercel, Glean, Replit, and Supabase.
The company specializes in processing real-time usage data and transforming complex pricing structures into scalable billing operations, a capability that has become increasingly important as businesses adopt usage-based and consumption-driven business models.
The acquisition reflects a broader industry shift where billing is evolving from a back-office function into a strategic component of revenue growth and customer monetization.
As AI-driven products become more prevalent, traditional subscription pricing models are giving way to dynamic consumption-based pricing. This transition creates new operational challenges for enterprises that must process millions of usage events while maintaining accurate billing and revenue recognition.
According to Adyen, this growing complexity has created demand from customers seeking a more integrated approach to billing and payments.
One of the primary motivations behind the acquisition is the opportunity to connect billing intelligence with payment performance.
Today, billing and payments often operate as separate systems, creating data silos that limit visibility into customer behavior and revenue outcomes. By combining Orb's billing capabilities with Adyen's payments platform, businesses will be able to leverage real-time financial and transaction data to improve billing execution, reduce fraud, and increase payment success rates.
Orb's technology architecture was another key factor behind the deal.
Unlike many traditional billing platforms that aggregate usage data early in the process, Orb stores complete event streams at scale, enabling organizations to maintain flexibility around pricing models, revenue experimentation, and future monetization strategies.
This architecture has proven particularly attractive to AI and software companies operating in rapidly changing markets.
The combination creates a powerful bridge between how companies charge customers and how those transactions ultimately perform, enabling smarter revenue decisions in real time.
Adyen Co-CEO Ingo Uytdehaage noted that customers increasingly require infrastructure capable of handling complex, high-volume usage models as AI reshapes software pricing and consumption patterns.
He emphasized that integrating Orb's billing platform with Adyen's payments capabilities closes the loop between billing logic and payment performance, helping merchants automate revenue optimization more effectively.
Orb CEO Alvaro Morales echoed that vision, highlighting that standalone billing platforms often lack visibility into transaction execution.
By joining Adyen, Orb will be able to connect its event-level billing infrastructure directly to real-time financial signals, creating a more intelligent and responsive monetization ecosystem.
Adyen expects both the Orb acquisition and its previously announced Talon. One acquisition to close on July 1, 2026, subject to customary regulatory approvals and closing conditions.
The company stated that the two acquisitions are expected to contribute meaningfully to its long-term growth strategy while adding approximately one percentage point to net revenue growth in 2026.
Why This Acquisition Matters
• Strengthens Adyen's position beyond payments and deeper into enterprise revenue infrastructure.
• Expands capabilities for AI-native and SaaS companies operating on usage-based pricing models.
• Unifies billing, payments, and revenue intelligence within a single ecosystem.
• Creates new opportunities to optimize payment performance through billing data insights.
• Positions Adyen to benefit from the rapid growth of consumption-based software and AI services.
• Enhances the company's long-term growth strategy through higher-value enterprise monetization solutions.
