Freshworks and Torii Deal Expands AI Spend Governance

Article content
Freshworks Inc. has signed a definitive agreement to acquire Torii, expanding its Freshservice platform into software management and AI spend governance. The transaction addresses a growing challenge for enterprise IT teams: maintaining visibility over the software applications, AI tools, user access and spending distributed across their organisations.
Announced on 12 October 2026, the deal is intended to bring software inventory, usage, licence management and AI consumption data into a more unified operational view. Freshworks subsequently said on 19 October that it had officially welcomed Torii to the company, while outlining plans to develop the combined capabilities over time.
Financial terms of the transaction were not disclosed in the announcement.
Managing the Expanding Enterprise Software Estate
Organisations increasingly rely on cloud applications, SaaS subscriptions and AI tools across multiple departments. However, these tools can be adopted outside established IT procurement processes, leaving technology, finance and security teams with incomplete information about usage, access and costs.
Freshworks said the combination with Torii will help provide a consolidated view of applications, licences, identities and technology spending. The aim is to help organisations identify underused software, improve licence management and reduce unnecessary expenditure while addressing risks associated with unmanaged tools.
Torii's platform is designed to discover software and AI activity across an organisation and connect that visibility to operational workflows.
Bringing AI Spending Into Focus
AI introduces a different cost-management challenge from traditional software subscriptions. While many enterprise applications have historically been priced by seat or licence, AI services can generate consumption-based costs tied to usage, models and the complexity of tasks performed.
Torii tracks AI consumption at token level and can attribute usage to the individuals and teams responsible. This gives IT and finance teams information to forecast spending, establish limits and identify unexpected increases in consumption.
For Freshworks, adding these capabilities extends Freshservice beyond traditional IT service management towards a broader role in governing the technology used across an enterprise.
Connecting IT, Finance and Security
Software and AI management often involve multiple departments working from different data sources. IT teams oversee applications and access, finance teams track expenditure, and security teams assess the risks associated with tools and identities.
The Freshworks-Torii combination aims to reduce these information gaps by bringing more of the technology estate into one operational view.
Freshworks CEO and President Dennis Woodside said the addition of Torii would extend Freshservice's visibility into software and AI spending, giving IT and finance teams a clearer picture of what is being used, by whom and at what cost.
The companies also intend to connect that visibility with faster employee access and fewer manual requests to IT.
Torii's SaaS Management Platform
Founded in 2017, Torii helps organisations discover and manage SaaS applications, AI projects, licences, users, owners and access permissions. Its platform connects this information with workflows designed to reduce waste, automate software lifecycle tasks and support renewals and compliance processes.
Torii was named a Leader in the 2026 Gartner Magic Quadrant for SaaS Management Platforms, according to the announcement. Its customers include Hearst Corporation, Groupon and Koch, Inc.
The acquisition brings this expertise into Freshworks' broader service operations portfolio, adding software and AI usage data to the operational context available through Freshservice.
A Broader Role for Freshservice in Enterprise AI
In a follow-up article published on 19 October, Freshworks Chief Product and Technology Officer Ryan Manning described the strategic rationale as extending beyond software spend reporting. He said enterprise AI requires organisations to understand the applications, infrastructure, identities and policies surrounding the systems that AI tools and agents use.
The longer-term opportunity, as Freshworks describes it, is to give organisations the operational context needed to manage AI-enabled work while maintaining appropriate controls.
As AI agents take on more business tasks, enterprises will need to understand not only the tools being used, but also what those systems can access, how they perform and what they cost to operate.
Freshworks said its teams are working on integration plans and that existing products, support arrangements and commitments remain in place, with further details to be shared as the roadmap develops.
